Terms of Service

1. General Provisions

These Terms of Service ("Terms") govern the purchase and use of the MetaAds Agent digital product ("Product") available at tonyabel.com/metaads-agent.

By purchasing the Product, the buyer ("Buyer") agrees to be bound by these Terms.

3. Product Description

MetaAds Agent is a digital product consisting of Python source code files, configuration files, documentation (including SKILL.md, workflows, and README), and supporting materials designed to assist with Meta (Facebook & Instagram) advertising campaign management using AI coding tools.

The Product is delivered as a complete package of source files. It is not a SaaS subscription — the Buyer receives full ownership of the source code upon purchase. The Product is designed to work with any AI coding tool that can read instruction files, run terminal commands, and follow structured rules.

4. Purchase and Delivery

  • The contract is concluded at the moment of payment confirmation.
  • Upon completing the purchase, the Buyer receives immediate access to download all Product files.
  • Delivery is fully digital — no physical goods are shipped.
  • The Buyer is responsible for providing a valid email address for delivery.
  • An invoice will be issued upon request and sent to the Buyer's email address.

5. Pricing and Payment

  • Prices are displayed in USD, EUR, and PLN. The final price is the amount shown at checkout.
  • All prices are net prices. The Seller is VAT-exempt (zwolniony podmiotowo z VAT na podstawie art. 113 ust. 1 ustawy o VAT) and does not charge VAT.
  • Payment is processed by a third-party payment provider.
  • The Seller issues invoices without VAT in accordance with Polish tax law.

6. License and Usage Rights

Upon purchase, the Buyer is granted a non-exclusive, non-transferable, perpetual license to:

  • Use the Product for the Buyer's own business or personal purposes.
  • Modify the source code to fit the Buyer's needs.
  • Deploy the Product on the Buyer's own infrastructure.

The Buyer may NOT:

  • Redistribute, resell, sublicense, or share the Product (in whole or in part) with third parties.
  • Use the Product to create a competing product or service for sale.
  • Remove or alter copyright notices from the source files.
  • Make the Product available on public repositories (e.g., GitHub, GitLab) or file-sharing platforms.

Breach of license terms entitles the Seller to terminate the license and pursue legal remedies.

7. Right of Withdrawal and Refund Policy

The Product is digital content that is not supplied on a tangible medium. In accordance with Article 38 point 13 of the Polish Act of 30 May 2014 on Consumer Rights (Ustawa z dnia 30 maja 2014 r. o prawach konsumenta, Dz.U. 2014 poz. 827):

The Buyer who is a consumer acknowledges that by purchasing and receiving immediate access to the Product (digital content), the Buyer expressly consents to the performance of the contract before the expiry of the 14-day withdrawal period and acknowledges that this constitutes a waiver of the right of withdrawal.

Accordingly, no refunds are provided after delivery of the digital content.

This provision is presented clearly and requires explicit consent during the purchase process, in compliance with Article 21(2) of the Consumer Rights Act.

8. Intellectual Property

The Product, including all source code, documentation, algorithms, optimization rules, and design, is the intellectual property of the Seller, protected under the Polish Act of 4 February 1994 on Copyright and Related Rights (Ustawa o prawie autorskim i prawach pokrewnych, Dz.U. 1994 nr 24 poz. 83).

The purchase grants the Buyer a usage license as described in Section 6 but does not transfer copyright or other intellectual property rights to the Buyer.

9. Disclaimer of Warranties

The Product is provided "as-is" (bez gwarancji). The Seller does not guarantee:

  • That the Product will meet the Buyer's specific requirements.
  • That the Product will be error-free or uninterrupted.
  • Any specific advertising results, ROAS, CPA, or revenue outcomes.

The Buyer acknowledges that results depend on many factors outside the Product's control, including but not limited to the advertising budget, creative quality, target audience, market conditions, and Meta platform changes.

Nothing in this section limits the Buyer's statutory rights regarding defective goods under the Polish Civil Code (rękojmia, art. 556–576 Kodeksu cywilnego) where applicable to digital content.

10. Limitation of Liability

To the maximum extent permitted by law, the Seller's total liability for any claims arising from or related to the Product shall not exceed the amount paid by the Buyer for the Product.

The Seller shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or lost advertising spend.

This limitation does not apply to damages caused intentionally or through gross negligence.

11. Updates

  • MetaAds Agent plan: The Buyer receives the current version as a one-time snapshot. No future updates are guaranteed.
  • Agent + Lifetime Updates plan: The Buyer is entitled to all future updates, new modules, and Meta API version migrations at no additional cost, for as long as the Product is actively maintained by the Seller. The Seller does not guarantee any specific timeline for updates.

12. Complaints and Dispute Resolution

Complaints should be submitted to: pawelszczabel@gmail.com.

The Seller shall respond to the complaint within 14 days of receipt (in accordance with Article 7a of the Polish Consumer Rights Act).

The Buyer who is a consumer may also use the following out-of-court dispute resolution methods:

  • The EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr
  • Voivodeship Inspectorate of Trade Inspection (Wojewódzki Inspektorat Inspekcji Handlowej)
  • Municipal or district consumer ombudsman (miejski lub powiatowy rzecznik konsumentów)

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Poland. Any disputes arising from these Terms shall be resolved by the competent courts in Poland.

For consumers — in accordance with Article 17 of the Code of Civil Procedure (Kodeks postępowania cywilnego) — the competent court is the court of the consumer's place of residence.

14. Consumer Rights

If the Buyer is a consumer within the meaning of Article 22¹ of the Polish Civil Code (Kodeks cywilny), nothing in these Terms limits the Buyer's statutory consumer rights. In case of conflict between these Terms and mandatory consumer protection laws, the statutory provisions shall prevail.

In particular, the Buyer's rights under rękojmia (warranty for defects, art. 556–576 of the Civil Code, as applicable to digital content) are not excluded or limited by these Terms.

15. Changes to Terms

The Seller reserves the right to modify these Terms. Updated Terms will be posted on this page with an updated date. Changes do not apply retroactively to contracts concluded before the change.

The Seller will notify Buyers with active Lifetime Updates plans of material changes via the email address provided during purchase.
